Golden Goose Resources Corp. Announces $1.5 Million Private Placement
![]() | |||||||||
Vancouver, BC (October 14th 2026) – TheNewswire - Golden Goose Resources Corp. (CSE: GGR) (the "Company"), is pleased to announce that it intends to complete a non-brokered private placement (the "Private Placement") of up to 15,000,000 units of the Company (the "Units") at a price of $0.10 per Unit, for aggregate gross proceeds of up to $1,500,000.
Dustin Nanos, CEO of the Company comments “Gran Esperanza is strategically located adjacent to Southern Copper Argentina’s La Esperanza gold-silver exploration project, where a drilling campaign of approximately 5,000 metres across 33 drill holes was reported as planned in September 2026(1)(2). With Southern Copper’s reported drilling activity approximately 800 metres from the Gran Esperanza property boundary, the Company believes the neighbouring project underscores the exploration potential and growing interest in the broader district. The proposed financing represents an important step toward advancing systematic exploration at Gran Esperanza, including surveys, sampling, drilling, and funding the Company’s general working capital purposes which may include marketing or investor relations expenses. By funding these activities, Golden Goose aims to build on its existing exploration work, further evaluate the property’s mineral potential and generate the technical data needed to guide future exploration priorities.”
Each Unit issued pursuant to the Private Placement will consist of one common share in the capital of the Company (each, a "Common Share") and one half of one transferrable common share purchase warrant of the Company (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to purchase one Common Share (each, a "Warrant Share") at a price of $0.20 per Warrant Share until 5:00 p.m. (Vancouver time) on the second anniversary of the closing date of the Private Placement, subject to the Warrant Acceleration Right (defined below). Each Warrant will be subject to an acceleration right (the "Warrant Acceleration Right") exercisable by the Company, if for any ten consecutive trading days the daily volume weighted average trading price of the Common Shares on the Canadian Securities Exchange ("CSE") is $0.35 or greater per Common Share. If the Company exercises its Warrant Acceleration Right, the new expiry date of the Warrants will be the 30th day following the news release providing notice of such exercise. The Units issued under the Private Placement, and the underlying securities, will be subject to certain resale restrictions such as a hold period of four months and one day from the closing date, in addition to such other resale restrictions as may apply under the securities laws of the applicable jurisdiction of each subscriber or imposed by the CSE. The Private Placement may close in one or more tranches, and insider participation is expected although the extent is unknown at this time. The Company retains the right to raise up to an additional $2.5 million on a private placement basis through the issuance of up to an additional 25,000,000 Units on the same terms as the Private Placement, subject to compliance with appliable securities laws and CSE policies.
In connection with the Private Placement, the Company may pay certain eligible finders a commission in connection with sales to certain purchasers in accordance with the policies of the CSE and applicable securities laws, including cash commissions and broker warrants. The Private Placement is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and stock exchange approvals, including, if required, approval of the CSE.
This news release does not constitute an offer to sell or a solicitation of an offer to buy any securities in any jurisdiction in which such offer, solicitation or sale would be unlawful. This news release contains information regarding a drilling program on Southern Copper Argentina’s La Esperanza gold-silver exploration project which is adjacent to the Company’s Gran Esperanza project. The Company cautions investors that a proximate boundary and similar geological setting do not guarantee exploration success, and that the presence of a drilling program or geological structures on adjacent properties is not necessarily indicative of the mineralization on the Company's property and that the exploration plans for an adjacent property may not necessary be suitable for the Company’s property. The Company has no interest in, or right to access, the adjacent property, and the Company has not independently verified any geological data from that project.
