Hoshi Resource Corp. Elects Semi-Annual Reporting

Calgary, Alberta — May 15, 2026 — Leads & Copy — Hoshi Resource Corp. (TSX Venture: HRC.P) has announced its decision to adopt semi-annual reporting (SAR) under Coordinated Blanket Order 51-933, which provides exemptions for certain venture issuers.

The Blanket Order, a pilot program by Canadian securities regulators, allows eligible venture issuers to voluntarily switch from quarterly to semi-annual financial reporting. Hoshi Resource Corp.'s fiscal year concludes on December 31.

Under the SAR pilot program, the Corporation is exempt from filing interim financial reports and related management discussion and analysis (MD&A) for its first and third quarters. Therefore, the Corporation will not file interim financial statements or related MD&A for the nine-month period ending September 30, 2026, and subsequent periods ending March 31 and September 30.

The Corporation will continue to file audited annual financial statements, due within 120 days of December 31, and six-month interim financial reports and related MD&A, due within 60 days of June 30. The Corporation has committed to timely disclosure and will report all material changes and significant developments in accordance with National Instrument 51-102 Continuous Disclosure Obligations.

Hoshi Resource Corp. confirms that it meets the eligibility criteria under the Blanket Order and believes the move to semi-annual reporting will ease the administrative and financial burden associated with quarterly reporting, aligning with the objectives of the Blanket Order.

Hoshi Resource Corp. is a capital pool company (CPC) that has not commenced commercial operations and has no assets other than cash. Until the completion of its qualifying transaction, as per the TSX Venture Exchange Inc.'s CPC policy, the Corporation will only identify and evaluate businesses or assets to complete a proposed qualifying transaction.
