Silver Crown Royalties Inc. Acquires Net Smelter Return Royalty on Madre Sierra Deposit
TORONTO, ON, September 16, 2026 — Leads & Copy — Silver Crown Royalties Inc. has completed the acquisition of a 1% net smelter return royalty on Titiminas Silver Inc.'s Madre Sierra deposit in Jauja, Peru. The acquisition, previously announced on September 3, 2026, was finalized with cash consideration of US$2,000,000 paid at closing.
An additional US$1,000,000 of the purchase price was satisfied through the issuance of 38,401 units of Silver Crown. Each unit consists of one common share and one-half of a common share purchase warrant. The issuance price per unit was based on the volume-weighted average trading price of Silver Crown's common shares on Cboe Canada for the five trading days preceding the definitive royalty purchase and sale agreement dated September 2, 2026.
Warrants issued in connection with the acquisition are exercisable at a price equal to 150% of the unit issuance price for a period of 24 months following closing. Each whole warrant allows the holder to acquire one common share.
Furthermore, Silver Crown may pay up to US$1,000,000 in contingent consideration. This amount will be satisfied through the issuance of additional units, on the same one-share-and-one-half-warrant basis, upon the company receiving its first royalty payment from the acquired royalty. This payment is contingent on the Project achieving not less than 30 days of continuous production at a rate of at least 70 tonnes per day.
The price per unit for contingent consideration will be based on the five-trading-day volume-weighted average trading price of Silver Crown's common shares immediately before the trigger date. Warrants associated with these units will be exercisable at 150% of that price for 24 months following the trigger date.
All securities issued in relation to the acquisition were made on a prospectus-exempt basis and are subject to statutory hold periods and resale restrictions. Cboe Canada approved the issuances.
The acquired royalty is registered on the title of the Project. The assignment of the royalty to Silver Crown will be registered in the ordinary course.
