NeuroThera Labs Inc. Increases Private Placement Size and Extends Warrant Term
Toronto, ON — July 2, 2026 — Leads & Copy — NeuroThera Labs Inc., a clinical-stage biotech company and a majority-owned subsidiary of SciSparc Ltd., announced an increase to its non-brokered private placement, aiming to raise up to C$5.4 million. The company now intends to issue up to 45 million units at C$0.12 per unit. Each unit consists of one common share and one common share purchase warrant.
The warrants will entitle holders to acquire an additional common share at an exercise price equivalent to C$0.16, calculated on the closing date. The exercise period for the warrants has been extended to 36 months from the previously announced 24 months. Additionally, the warrants include an acceleration provision: if NeuroThera's securities are approved for trading on the Nasdaq Stock Market, 50% of the unexercised warrants will have their expiry date accelerated.
NeuroThera plans to utilize the net proceeds from this offering for general working capital. This includes evaluating potential transactions, settling liabilities such as outstanding indebtedness to SciSparc Ltd., and covering other corporate and administrative expenses.
Securities issued under the private placement will be subject to a statutory hold period of four months and one day from their issuance date. The company may also pay finder's fees on a portion of the offering, in compliance with applicable securities legislation.
The closing of the offering is contingent upon approval from the TSX Venture Exchange. It is not anticipated that the offering will result in the creation of new insiders or a change of control. Any participation by company insiders will be on the same terms as arm's length investors.
