NeuroThera Labs Inc. Closes Final Tranche of Private Placement, Raising C$2.7 Million

Toronto, Ontario — August 18, 2026 — Leads & Copy — NeuroThera Labs Inc., a clinical-stage biotech company and a majority-owned subsidiary of SciSparc Ltd., has successfully closed the final tranche of its non-brokered private placement, raising C$2.7 million. The company announced the closure of this Final Tranche on August 17, 2026, following previous announcements on June 30, July 2, and August 12, 2026.

In the Final Tranche, NeuroThera Labs raised C$2.7 million through the sale of 22.5 million units at C$0.12 per unit. Each unit consists of one common share and one common share purchase warrant. These warrants allow the holder to purchase a common share at an exercise price of US$0.115, equivalent to C$0.16, until August 17, 2029. A key feature of the unit warrants is an acceleration provision: if NeuroThera's securities are approved for trading on the Nasdaq Stock Market, the company will accelerate the expiry date of 50% of the unexercised unit warrants with three business days’ advance written notice to the holders. The unit warrants are non-transferable.

The net proceeds from the Final Tranche are earmarked for general working capital, as well as other corporate and administrative expenses. All securities issued in this tranche, including the common shares and unit warrants, and any shares issued upon warrant exercise, are subject to a four-month-and-one-day holding period commencing August 17, 2026. The offering is pending final approval from the TSX Venture Exchange and any other necessary regulatory approvals.

SciSparc Ltd., identified as a control person of NeuroThera Labs, participated in the offering by subscribing for 22.5 million units, totaling C$2.7 million. This participation is considered a “related party transaction” under Multilateral Instrument 61-101. Exemptions from formal valuation and minority shareholder approval requirements under MI 61-101 have been obtained because the common shares are not listed on a specified market and the fair market value of the securities issued to SciSparc Ltd. does not exceed 25% of NeuroThera's market capitalization. NeuroThera Labs did not file a material change report at least 21 days prior to the closing because SciSparc Ltd.’s participation had not been confirmed at that time.
