Eventer Technologies Ltd. Closes C$2.475 Million Private Placement

Toronto, Ontario — August 17, 2026 — Leads & Copy — Eventer Technologies Ltd., a company specializing in a SaaS-based platform for managing and selling live event tickets, announced the successful closing of its non-brokered private placement, raising C$2,475,000. The financing involved the sale of 33,000,000 units at C$0.075 per unit, with each unit comprising one common share and one common share purchase warrant.

Each warrant grants the holder the right to acquire one common share at US$0.072, equivalent to C$0.10, until August 17, 2029. These warrants include an acceleration provision: if Eventer's securities are approved for trading on the Nasdaq Stock Market, 50% of the unexercised warrants will have their expiry date accelerated with three business days' written notice. The warrants are non-transferable.

The net proceeds from the offering are earmarked for general working capital, which will include the assessment of prospective transactions, settlement of liabilities, and other corporate and administrative expenditures. All securities issued in this offering, along with any shares issuable upon warrant exercise, are subject to a restricted period of four months and one day from the date of issuance. The offering awaits final approval from the TSX Venture Exchange and any other necessary regulatory bodies.

In conjunction with the private placement, Eventer paid C$204,188 in finder's fees to a qualified arm's length party. This finder also received 4,125,000 common shares as compensation.
