Eventer Technologies Ltd. to Raise Up to C$2.475 Million Through Private Placement

Vancouver, BC – July 2, 2026 – Leads & Copy – Eventer Technologies Ltd., a company providing a SaaS-based platform for managing and selling tickets for live events, announced its intention to proceed with a non-brokered private placement. The offering aims to raise up to C$2,475,000 by issuing a maximum of 33,000,000 units at C$0.075 per unit.

Each unit will consist of one common share and one transferable common share purchase warrant. These warrants will allow the holder to purchase an additional common share at a price equivalent to US$0.10 for 36 months from the issuance date. The warrants include an acceleration provision: if Eventer's securities are approved for trading on the Nasdaq Stock Market, 50% of the unexercised warrants will have their expiry date accelerated.

Eventer plans to utilize the net proceeds from the offering for general working capital. This includes evaluating potential transactions, settling liabilities, and covering other corporate and administrative expenses. The common shares and warrants issued are subject to a statutory hold period of four months and one day following their issuance.

The company may pay finder's fees on a portion of the offering, contingent upon securities legislation. The closing of the offering is subject to the approval of the TSX Venture Exchange. Eventer does not anticipate that the offering will result in any new insiders or a change of control. Any participation by existing insiders will be on the same terms as other investors.
