Prismo Metals Upsizes Private Placement Closing, Raises $294,000
Vancouver, British Columbia — December 31, 2025 — Leads & Copy — Prismo Metals Inc. has announced the upsized closing of its non-brokered private placement, raising gross proceeds of $294,000 through the issuance of 2,940,000 units at $0.10 per unit.
The closing follows the company's news release on December 3, 2025, and brings the total gross proceeds raised through the private placement to $2,204,000, with 22,040,000 units sold.
Each unit comprises one common share and one common share purchase warrant. The warrants allow the holder to purchase one share at an exercise price of $0.175 for a period of 36 months from the date of issue.
According to Alain Lambert, CEO of Prismo, nearly all subscribers in the recent closing are new shareholders. The company plans to allocate the net proceeds primarily to drilling at its Silver King project and for general corporate purposes.
The company's immediate priority is to start its fully funded drill program, focusing on the historic Silver King mine site for a minimum of approximately 1,000 meters. The objective is to test the upper half of the Silver King mineralized body, as well as mineralization adjacent to the stockwork that was the focus of historic mining.
In connection with the closing, Prismo Metals issued 185,200 finder’s warrants and paid finder’s commissions of $18,520. Each finder’s warrant allows the purchase of one share at $0.10 for 24 months from the date of issuance. A cash fee of $7,000 was also paid to a financial advisor.
The units issued are subject to a four-month hold period from the closing date under applicable Canadian securities laws. The company anticipates accepting additional subscriptions of units from new shareholders for approximately $75,000 in the coming days.
