Golden Cariboo Resources Ltd. Closes Final Tranche of Private Placement

Vancouver, B.C., Canada — August 18, 2026 — Leads & Copy — Golden Cariboo Resources Ltd. is finalizing a non-brokered private placement, raising an additional $515,200 through the issuance of 6,440,000 units at $0.08 per unit. This final tranche brings the total proceeds from the offering to $2,120,000.

Each unit comprises one common share and one share purchase warrant. These warrants are exercisable for five years from August 20, 2026, with escalating exercise prices starting at $0.12 in the first year, increasing to $0.25 in the fifth year. The funds raised will be allocated to general working capital and ongoing property exploration.

Securities issued in this third tranche are subject to a four-month hold period, expiring on December 21, 2026. In connection with the private placement, eligible finders will receive commissions totaling $22,544 for this tranche, along with 281,800 finder warrants. These finder warrants have the same five-year exercise period and escalating price structure as the unit warrants. Total commissions for all three tranches amount to $73,168, with 914,600 finder warrants issued across all tranches.
